A leading Karachi-based company is seeking a highly experienced and qualified professional for the position of Company Secretary. This role is a crucial part of the organization’s governance framework, ensuring compliance with corporate laws and regulations while maintaining seamless communication between the Chairman, Board of Management, and Chief Executive Officer.
Role Overview
The Company Secretary will be responsible for overseeing corporate governance, managing board and committee meetings, maintaining statutory records, and ensuring compliance with Securities & Exchange Commission of Pakistan (SECP), Pakistan Stock Exchange (PSX), and other relevant authorities.

Key Responsibilities
The responsibilities of the Company Secretary include, but are not limited to:
- Board & Committee Meetings:
- Preparing and distributing agendas and working papers.
- Recording and circulating minutes of meetings.
- Ensuring implementation of board decisions.
- Corporate Compliance & Regulatory Liaison:
- Ensuring compliance with SECP, PSX, and other legal authorities.
- Filing statutory returns and maintaining corporate records.
- Keeping management updated on changes in corporate laws and secretarial practices.
- Legal & Audit Coordination:
- Liaising with internal and external auditors and legal counsel.
- Verifying, authenticating, and signing official company documents.
- Ensuring smooth transfer of shares in compliance with legal procedures.
- Governance & Communication:
- Acting as the primary liaison between the board and management.
- Communicating board decisions and corporate policies effectively.
- Organizing training and orientation sessions for board members.
- Annual Reports & Public Sector Compliance:
- Assisting in the preparation of the company’s annual report.
- Ensuring compliance with public sector company laws and regulations.
Eligibility Criteria
Education & Experience:
- A Master’s degree in Business, Finance, Commerce, or Law from an HEC-recognized university OR
- Membership in a recognized professional accounting or corporate secretarial body.
- At least 5 years of relevant experience.
- A minimum of 15 years of total work experience, preferably in a large national or multinational organization in the oil & gas or public sector.
- Maximum age: 45 years as of the application closing date.
Required Knowledge & Skills:
- Strong understanding of corporate governance, compliance regulations, and public sector laws.
- Excellent communication, drafting, and minute-taking skills in English.
- Ability to handle confidential information with integrity.
- Strong interpersonal and team-working abilities.
Additional Requirements:
- Proven ability to manage sensitive information confidentially.
- Strong analytical and problem-solving skills.
- Ability to work well under pressure and meet deadlines.
